Corporate Governance
Corporate Governance refers to the principles of responsible corporate management and oversight. In Germany, the legal foundations are primarily laid down in the Stock Corporation Act (AktG), the Commercial Code (HGB), and the German Corporate Governance Code (DCGK). The DCGK sets standards for transparency, oversight, and constructive cooperation between the Executive Board, the Supervisory Board, and the Annual General Meeting.
The purpose of Corporate Governance is to strengthen the trust of investors, employees, and the public while ensuring sustainable corporate development. IVU closely aligns with the recommendations of the DCGK and relies on clear structures, effective control mechanisms, and responsible decision-making processes.
For us, responsible corporate management, good risk management, independent supervisory bodies and the protection of shareholders’ rights are top priorities. We regard good Corporate Governance as a foundation for integrity, stability, and sustainable economic success.

Compliance Management
At IVU, compliance is an integral part of our corporate culture. Our compliance management system ensures that legal requirements, internal policies, and ethical principles are consistently observed in our daily actions. For us, compliance is not a formality, but a lived commitment to integrity -in every area and at every level of the company.
Key components of our system include the company-wide Code of Conduct and our whistleblowing system, which ensures the secure and confidential handling of potential reports.
The IVU Code of Conduct
With our Code of Conduct, we demonstrate what IVU stands for, both internally and externally. It provides us with a framework for our day-to-day operations that helps us to always make ethical and legally compliant decisions. The Code of Conduct provides customers, partners, shareholders, and the public with a reliable and transparent basis for working with us.
We do not tolerate any form of corruption or bribery at IVU – whether public, private, active, or passive. As a responsible, globally active company, we comply with the anti-corruption laws and regulations of all countries in which we operate.
We conform to the applicable competition and antitrust laws and act according to their requirements. The company's own market position is not exploited, and no agreements are made with competitors that could lead to damage to existing and potential customers.
To respect and protect human rights in the supply chain, we have implemented the Act on Corporate Due Diligence Obligations in Supply Chains and are currently working on implementing further measures. All our suppliers and partners are based almost exclusively in Europe; we do not maintain any operations, or have any direct suppliers, in countries with a significant risk of human rights violations.
